Request approval of a Resolution authorizing the execution, delivery and performance of a Free-Standing Emergency Department contract between the Fulton DeKalb Hospital Authority and Fulton County, Georgia, along with the execution of related documents pertaining to the Authority’s bond issuance, regarding the acquisition, construction, equipping and development and provision of medical services and hospital facilities for the indigent sick in Fulton County. This authorizes the use of the General funds of Fulton County, Georgia in an amount sufficient to pay its obligations under the Free-Standing Emergency Department Contract and the levy of taxes pursuant to the Hospital Authorities Law only in the event of insufficient general funds; and for other purposes. Scope of Work: The County is desirous to assist with funding up to an amount not to exceed $19 million for the cost of acquisition, construction, installation and equipping of certain hospital facilities and equipment to be located in Union City, Georgia, including a free-standing emergency department (The Project), which will be owned by the Fulton DeKalb Hospital Authority, and leased to the Grady Memorial Hospital Corporation. These 2026A Certificates will provide financing for the project. The County will be required to execute an acknowledgment that the bond purchasers are not advisors to the County in any way and waiving the County’s right to a jury trial with respect to any litigation relating to the bond certificates. In order to secure the Series 2026A Certificates, the Authority and County propose to enter into an intergovernmental contract (the “Free-Standing Emergency Department Contract”) under the terms of which the County, in return for the Authority’s agreement to issue the Certificates to finance the Project and thereby provide certain facilities and services with respect to the indigent sick and poor in Fulton County, agrees to make payments (from the general fund and/or monies raised via a tax levied for this purpose) to the Authority sufficient to ensure payment of principal and interest on the Series 2026A Certifications. Total estimated Project costs are approximately $38 million ($19 million for Fulton County).
